FACTOR Board of Directors
Under FACTOR’s current constitution, the Board of Directors is comprised of a volunteer group of 11 individuals representing broadcasting and music industry companies and organizations. Six from the music industry and five from Canada’s private radio broadcasters.
Under the current by-laws there are eight members of the organization, controlling eight seats on the Board. These members are responsible for the appointment of Directors. The Directors they appoint are responsible for electing the remaining four seats on the Board. The eight members are:
- CORUS Entertainment Inc. with 1 seat
- Bell Media Inc. with 1 seat
- Rogers Broadcasting with 1 seat
- Astral Media with 1 seat
- Canadian Independent Music Association (CIMA) with 2 seats
- Canadian Music Publishers Association (CMPA) with 1 seat
- Music Managers Forum with 1 seat
In its efforts to embrace as many sectors of the industry as possible, the Board of Directors gives consideration to both regional and sector representation. However with the limited number of seats available for election not all sectors can be represented.
Board members are limited to a two year term to serve on the Board and can serve a maximum of three terms. This by-law was adopted in 2007 to ensure Board rotation.
FACTOR has a Director Emeritus, - Duff Roman who is also the founding President of the organization. He has remained an active supporter and builder of FACTOR throughout its history and the Board and Staff of FACTOR are honoured to have an individual of his expertise and experience providing on-going guidance. He has also ensured there is an historical memory available to new Board members.
FACTOR also has a provision for Observers to attend meetings of the Board of Directors. Observers do not have voting privileges and provide input as required. Currently our observers represent the Department of Canadian Heritage, Canadian Association of Broadcasters and FACTOR's National Advisory Board.
